Terms of Sale

Note: this English version is provided for convenience. The French version prevails in case of dispute.

These Terms of Sale ("Terms") govern all professional services provided by Codea SAS to its business clients. Any order implies full acceptance of these Terms.

1. Parties

Codea SAS, a French simplified joint-stock company registered with the Paris Trade and Companies Register (SIREN to be completed), with registered office in France, hereinafter "Codea".

2. Services offered

Codea provides custom web development, automation, artificial intelligence, strategic consulting and product support services, delivered within a 21-day commitment unless otherwise agreed.

3. Pricing and payment terms

Prices are quoted in euros excluding VAT. Payment is made by bank transfer per the agreed schedule: 50% on order, 50% on delivery, unless specified otherwise. Late payment triggers statutory penalties at the legal rate in force.

4. Delivery timelines

Codea contractually commits to the delivery date defined in the signed quote. Late penalties attributable to Codea are detailed in each contract.

5. Intellectual property

Source code and deliverables produced under the engagement become the full property of the client upon final payment. Codea retains moral authorship and may use the work as a commercial reference, subject to any confidentiality clause.

6. Warranties and liability

Codea warrants the proper operation of its deliverables for three (3) months from delivery. Codea's liability is capped at the total amount invoiced for the relevant engagement.

7. Termination

In case of serious breach by either party, the other party may terminate the contract by registered letter with acknowledgment of receipt, after a thirty (30) day notice period.

8. Governing law and jurisdiction

These Terms are governed by French law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Paris, except where mandatory provisions provide otherwise.
